These Terms of Sale (ToS) govern sales made by Nexelys via the nexelys.io website, namely:
Any subscription and any purchase of a market study implies full and unreserved acceptance of these Terms. They supplement the Terms of Use (CGU), which remain applicable to browsing and use of the free features.
Nexelys offers monthly subscriptions providing access to sector analyses, forecasts, dashboards and strategic-steering tools in the following areas:
Subscriptions are individual (Transport, Real Estate, Construction or Outlook) or bundled (Integral offer covering all 4 sectors).
Content and publication frequency are specified on the dedicated pages of the website and may evolve at Nexelys's discretion, without affecting ongoing subscriptions.
Independently of any subscription, Nexelys also offers market studies sold individually. Each study is a digital document in PDF format, covering a given country and sector, including in particular an analysis of market structure, demand, supply and access framework, together with multi-year projections produced by Nexelys. The length, publication date and table of contents of each study are shown on its dedicated page. An extract is made available free of charge before purchase.

Subscription prices are stated in euros, including all taxes, at the VAT rate in force on the day of subscription.

Market studies are displayed excluding VAT, the inclusive amount being systematically shown next to the exclusive price and restated before payment. The applicable VAT rate is the one in force on the day of the order, namely 20% as at the date hereof. The price of each study appears on its dedicated page and prevails.
Business buyers may enter their EU VAT number at checkout so that it appears on the invoice. The tax treatment applicable to buyers established outside France is determined according to the rules in force.
Nexelys reserves the right to change its prices at any time. New prices apply only to new subscriptions, to renewals occurring after the change, and to orders placed after it. For ongoing subscriptions, users are notified at least 30 days before any change is applied. An order for a study already paid for is never affected by a subsequent price change.
Payment is secure and handled exclusively by our payment subprocessor Stripe Payments Europe Ltd (Ireland). Nexelys never stores full bank card data (card number, CVV, expiry date).
Subscriptions are taken out online at nexelys.io after creating a user account.
Subscriptions are renewed automatically each month by direct debit on the registered payment method, unless cancelled beforehand.
In the event of payment failure, Nexelys may suspend access to the services after email notification. Access is restored once payment is settled.
Purchasing a study is a one-off payment, with no account creation and no commitment. It is made from the study page, on a payment page hosted by Stripe. No further debit is made.
An invoice showing the amount excluding VAT, the VAT and the amount including VAT is sent to the buyer electronically. The billing address is collected at checkout.
Each market study is digital content not supplied on a tangible medium, delivered in PDF format. No physical copy is shipped.
Delivery occurs immediately after payment has been collected: a download link is displayed on screen and sent to the buyer by email, to the address provided at checkout. It is the buyer's responsibility to provide a valid email address and, where applicable, to check their spam folder.
The download link is personal. Its validity period and the number of permitted downloads are stated on the study page and restated in the delivery email. Once that period or quota has elapsed, the buyer may request a new link at contact@nexelys.io, at no additional cost.
Buyers are advised to save the document upon receipt. Nexelys cannot be held liable for the loss of the file once downloaded.
Purchasing a study transfers no intellectual property rights. It grants the buyer a personal, non-exclusive, non-transferable internal-use licence, for their own needs, with no time limit.
Unless agreed in writing by Nexelys, the following are prohibited:
For broader use, in particular distribution within a group or to clients, a specific licence may be granted on request.
It is precisely so that buyers can decide on an informed basis that a representative extract of each study, comprising several pages taken from the final document, is made available free of charge and without condition before purchase, as is the detailed table of contents.
The above clause does not affect the statutory guarantee of conformity provided for in Articles L224-25-12 et seq. of the French Consumer Code. If the delivered document is inaccessible, corrupted, incomplete or does not match the description on its sales page, the buyer shall notify Nexelys at contact@nexelys.io. Nexelys will then bring the document into conformity, failing which it will issue a refund.
The projections and analyses contained in the study are decision-support material and not a guarantee of outcome. A gap between a projection and subsequently observed reality does not constitute a lack of conformity.
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium where performance has begun with the consumer's prior express consent and express waiver of the right of withdrawal.
Before any payment, the consumer must tick a box by which they expressly consent to immediate performance of the contract and expressly waive their fourteen-day right of withdrawal. This consent is time-stamped and retained by Nexelys as evidence. Without that box ticked, the order cannot be placed.
Once that consent has been given and access to the content opened, no withdrawal is possible, whether for a subscription or for a market study sold individually.
This section concerns consumers, that is, natural persons acting for purposes outside their professional activity.
For buyers acting for professional purposes, the right of withdrawal provided for by the French Consumer Code does not apply as a matter of principle. The order is firm and final upon payment.
Subscriptions are entered into for an indefinite term and are renewed automatically each month.
The user may cancel their subscription at any time from their subscriber area or by emailing contact@nexelys.io. Cancellation takes effect at the end of the current monthly period already paid. No prorated refund is due.
Nexelys reserves the right to terminate a subscription in the event of:
In such cases, Nexelys will refund, where applicable, the unconsumed portion of the period.
Nexelys undertakes to use its best efforts to ensure service availability. However, the service may be temporarily suspended for maintenance operations or due to circumstances beyond Nexelys's control (host outage, network incident, force majeure, etc.).
No compensation or refund is due in the event of a service suspension of less than 48 consecutive hours per calendar month.
All content published by Nexelys (analyses, forecasts, dashboards, market studies, methodologies, charts, structured data, texts) is the exclusive property of Nexelys.
The subscription grants the user a personal, non-exclusive, non-transferable right of use, limited to the subscription term, for their internal professional needs only.
Purchasing a market study grants an internal-use licence with no time limit, the exact scope of which is set out in Article 5.3.
Unless agreed in writing by Nexelys, the following are prohibited:
The analyses, forecasts and recommendations provided by Nexelys are decision-support tools based on public and proprietary data.
However, any strategic, financial, operational or commercial decision made on the basis of this content remains under the sole and full responsibility of the user, executive or representative of the subscribing company.
Nexelys cannot under any circumstances be held liable for direct or indirect consequences (loss of business, loss of opportunity, commercial harm, etc.) arising from decisions made by the user on the basis of the content.
The processing of personal data in the context of subscriptions is described in the Privacy Policy and the GDPR Policy of the website, accessible from the footer.
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable resolution. Failing that, and after the failure of a mandatory prior mediation for B2C disputes, the competent courts within the jurisdiction of Nexelys's registered office shall have exclusive jurisdiction.
In accordance with Article L612-1 of the French Consumer Code, in the event of a dispute that has not been resolved amicably with a consumer, the consumer may use the MEDICYS consumer mediation service free of charge:
This option is open only to consumers within the meaning of the French Consumer Code, following a documented prior attempt at direct resolution with Nexelys.
